Common use of Seller Certification Clause in Contracts

Seller Certification. Seller has delivered a certificate -------------------- stating that (1) the Unit has been completed in all material respects (excepting, e.g., punch list items that do not materially adversely affect the ability of the Unit or Units to operate in accordance with Prudent Industry Practice), (2) the Unit or Units has been designed and constructed and all conditions have been satisfied so as to permit Buyer to Dispatch the Unit or Units pursuant to the terms of the Agreement, and (3) that adequate levels of insurance coverage of the types and with the limits for electrical generation facilities similar to the Facility have been purchased by Seller that are usual and customary in accordance with Prudent Industry Practice.
