Seller Certification. The Seller shall provide periodic certifications and reports to the Participant as described on Exhibit C attached hereto (“Seller’s Certification”).

Seller certifies the following: • That Seller owns all of the above items noted in section #13 of personal property included in the sale and that they will be free and clear of any debt, lien or encumbrances at Closing. • That all of the above items included in the sale are and will be operational on the date of possession; except noted in the residential property disclosure form. • That no City, County, or State orders have been served upon Seller requiring work to be done or improvements preformed. Seller states that any citations filed by local authorities alleging any zoning or building code violations have been disclosed in writing to Purchaser.

Product Regulatory Compliance. You represent, warrant, certify, and covenant that the Products and their manufacture will comply with all applicable drug and medical device laws and regulations, including regulations promulgated by the Food and Drug Administration (FDA), the Nuclear Regulatory Commission (NRC), the quality system regulations as set forth in 21 CFR part 820, and any other relevant state and federal laws and regulations, and any comparable international laws and regulations in countries where the Products are sold.
Seller Certification. Seller represents that the Association: does or does not have a reserve fund to repair and replace major capital items in the normal course of operation. A reserve fund plan may avoid the necessity of special assessments in the future.
Seller Certification. On the Closing Date, Seller shall execute a Certification (“Seller Certification”) warranting that all of the representations and warranties contained in this Article V hereof and elsewhere in this Agreement and all information delivered in any Schedule, attachment or Exhibit hereto shall be true and correct on the Closing Date.
