Seller Consents Required. Disclosure Schedule 4.1(e) lists all Seller Consents. Except as set forth on Disclosure Schedule 4.1(e), no consent, approval, waiver, authorization, notice or filing is required to be obtained by any Seller or any of its Affiliates from, or to be given by any Seller or any of its Affiliates to, or made by any Seller or any of its Affiliates with, any Governmental Authority or any other Person in connection with the execution, delivery and performance by Sellers, Owners or any of their respective Affiliates of this Agreement and the Related Agreements.

  • Required Consents and Approvals All required consents and approvals shall have been obtained and be in full force and effect with respect to the transactions contemplated hereby and from (a) all relevant Governmental Authorities; and (b) any other Person whose consent or approval the Administrative Agent deems necessary or appropriate to effect the transactions contemplated hereby.
