Common use of Seller Rights and License to Buyer Clause in Contracts

Seller Rights and License to Buyer. Seller shall retain ownership of intellectual property previously owned by Seller and deliverable under this Order (“Seller Intellectual Property”). Seller hereby grants to Buyer a nonexclusive, worldwide, irrevocable, paid-up, royalty-free right to make, use, sell, import, execute, modify, reproduce, perform, display, release, distribute, or disclose the Seller Intellectual Property, in whole or in part, in any manner and form, and to have or authorize others to do so, solely for the purpose of performing prime or higher-tier contract obligations in connection with this Order. Seller shall not assert any intellectual property right in a manner inconsistent with Buyer’s contractual obligations to its customers.
