Seller Subdivision Defined. “Seller Subdivision” means any subdivision of the Property required under Section 2.5(a) or 2.5(b). Seller shall be responsible for all obligations (including, without limitation, the posting of any fiscal requirements, the construction of any improvements and the dedication of any real property or improvements or the payment of any fees in lieu of dedication) imposed as a condition of approval of any Seller Subdivision by any governmental agency. Any Seller Subdivision, and any restrictions, obligations or conditions imposed by any Seller Subdivision on the Property or the owner of the Property, shall be subject to Purchaser’s prior written approval, which approval shall not be unreasonably withheld and (provided Purchaser includes with its request for approval a statement IN BOLDFACE TYPE AND ALL CAPITAL LETTERS that Purchaser’s approval shall be deemed given if Purchaser does not deliver written objections to Seller within five (5) business days after Purchaser’s receipt of written request for approval) shall be deemed given if Purchaser does not deliver written objections to any request for approval within five (5) Business Days after Purchaser’s receipt of written request for approval, together with copies of all documents that describe or impose the restrictions, obligations or conditions.

  • Common Areas - Definition The term "Common Areas" is defined as all areas and facilities outside the Premises and within the exterior boundary line of the Industrial Center that are provided and designated by the Lessor from time to time for the general non-exclusive use of Lessor, Lessee and of other lessees of the Industrial Center and their respective employees, suppliers, shippers, customers and invitees, including parking areas, loading and unloading areas, trash areas, roadways, sidewalks, walkways, parkways, driveways and landscaped areas.

In calculating Real Property Taxes for any calendar year, the Real Property Taxes for any real estate tax year shall be included in the calculation of Real Property Taxes for such calendar year based upon the number of days which such calendar year and tax year have in common.
