Seller's Affidavit at Closing. The representations, warranties and covenants of the Seller contained in this Agreement or in any document delivered to Purchaser pursuant to the terms of this Agreement (whether in this Paragraph 7 or elsewhere) (i) shall be true and correct in all material respects and not in default at the time of Closing, just as though they were made at such time, and Seller shall deliver to Purchaser, at Closing, an Affidavit to that effect, and (ii) in the event of a breach of such representations, warranties or covenants prior to or at Closing, Purchaser shall have the right to make a claim hereunder against Seller for a period of one (1) year following the Closing.

Seller's Affidavit at Closing. The representations, warranties and covenants of the Seller contained in this Agreement or in any document delivered to Purchaser pursuant to the terms of this Agreement (whether in this Section 5 or elsewhere) (i) shall be true and correct in all material respects and not in default at the time of Closing, and Seller shall deliver to Purchaser, at Closing, an Affidavit to that effect (with appropriate modifications to reflect any changes therein or identifying any representation or warranty which is not or no longer is, true and correct, and (ii) in the event of a breach of such representations, warranties or covenants prior to or at Closing, Purchaser shall have the right to make a claim hereunder against Seller for a period of thirty (30) days after the date as of which such Affidavit was delivered to Purchaser. After such thirty-day period, such representations and warranties shall expire and Purchaser shall no longer have any right to make a claim with respect thereto.
