Common use of Seller's Documents Clause in Contracts

Seller's Documents. Seller shall deliver to Purchaser all of the documents described in this Section by April 30, 2002, at Seller's expense, each to be of current or recent date and certified to Purchaser unless otherwise noted below (the `Seller's Documents'). Purchaser shall have until the earlier of 1) forty-five (45) days after the delivery of all of the Seller's Documents, or May 15, 2002 (the "Document Review Period") to review and approve Seller's Documents. If Purchaser shall elect to substitute an Alternative Property the cost of obtaining Seller's Documents as to the Alternative Property shall be shared equally, unless such Alternative Property was substituted for another of the Properties due to an uncured title defect for such Property, and Purchaser shall obtain at Purchaser's expense any other documents ("Purchaser's Documents") required and deemed necessary by Purchaser to evaluate the Property or Alternative Property as listed in Section 7. Seller's Documents are provided as a convenience to Purchaser so that Purchaser may conduct all of its inspections, due diligence and review of the Properties to satisfy itself regarding each item, the Property and this transaction. Seller makes no representation or warranty to Purchaser regarding the accuracy or completeness of Seller's Documents. Seller's Documents shall include: (a) The Title Commitment and back-up documentation; (b) As-Built ALTA boundary survey of the Property as described on Exhibit "C" attached hereto;

If Purchaser shall elect to substitute an Alternative Property the cost of obtaining Seller's Documents following without warranty as to the Alternative Property shall be shared equally, unless such Alternative Property was substituted for another of the Properties due to an uncured title defect for such Property, and Purchaser shall obtain at Purchaser's expense any other documents ("Purchaser's Documents") required and deemed necessary by Purchaser to evaluate the Property or Alternative Property as listed in Section 7. Seller's Documents are provided as a convenience to Purchaser so that Purchaser may conduct all of its inspections, due diligence and review of the Properties to satisfy itself regarding each item, the Property and this transaction. Seller makes no representation or warranty to Purchaser regarding the accuracy correctness or completeness of Seller's Documents. Seller's Documents shall include: same: (a) The Title Commitment a true and back-up documentation; complete schedule setting forth all taxing authorities to which taxes and/or assessment are paid by reason of ownership of the Real Property; with respect to each taxing authority the current assessed valuation therefore, the applicable tax years and tax rates, and any pending tax exemptions or abatements and the terms, amounts and bases thereof; any assessment payable in annual installments, which has become a lien or of which the Seller has knowledge, (b) As-Built ALTA boundary survey all title policies pertaining to and surveys of the Real Property, (c) any notices with respect to the Real Property as described on Exhibit "C" attached hereto;received from a governmental agency by the Seller in connection with the use and operation of the Real Property in its current manner, including wetland and fill permits, zoning variances, and environmental reports, notices or similar documents (collectively, the “Seller Documents”). Any Seller Documents not in Seller’s possession or control upon execution of this Agreement, but which come into Seller’s possession or control prior to Closing, shall be delivered to Purchaser no later than the Closing Date. If Seller does not possess an item referenced but has actual knowledge of its existence, Seller shall disclose to the full extent of Seller’s actual knowledge the information contained in the document or the whereabouts of the document and assist Purchaser in obtaining the document. If Closing does not occur Purchaser will return to Seller any document produced in accordance with the requirements of this provision.
