Common use of Selling Commissions and Dealer Manager Fees Clause in Contracts

Selling Commissions and Dealer Manager Fees. Subject to volume discounts and other special circumstances described in or otherwise provided in this Agreement and under the caption “Plan of Distribution” in the Prospectus, which may be amended and restated from time to time as compensation for the services rendered by the Dealer Manager, the Company agrees that it will pay to the Dealer Manager selling commissions in the amount of up to 3.0% of the transaction price of the Class T Shares sold in the primary offering, all or a portion of which may be reallowed to Dealers. The Company further agrees that it will pay to the Dealer Manager selling commissions in the amount of up to 3.5% of the transaction price of the Class S Shares sold in the primary offering, all or a portion of which may be reallowed to Dealers. In addition, the Dealer Manager shall be paid a dealer manager fee in the amount of up to 0.50% of the transaction price of the Class T Shares sold in the primary offering. All or a portion of the dealer manager fee may be paid by the Dealer Manager to Dealers. No selling commissions or dealer manager fees shall be paid to the Dealer Manager with respect to the sale of Class D Shares and Class I Shares or with respect to Class T Shares, Class S Shares, Class D Shares and Class I Shares sold pursuant to the DRP.

In addition, the Dealer Manager shall be paid a dealer manager fee in the amount of up to 0.50% of the transaction price gross offering proceeds of the Class T Shares sold in the primary offering. All or a portion of the dealer manager fee may be paid by the Dealer Manager to Dealers. No selling commissions or dealer manager fees shall be paid to the Dealer Manager with respect to the sale of Class D Shares and Class I Shares or with respect to Class T Shares, Class S Shares, Class D Shares and Class I Shares sold pursuant to the DRPCompany's distribution reinvestment plan.
