Senior Executives Discussions. If a dispute arises between Array and ICOS or with respect to matters other than the management of the Optimization Program, either during or after the Optimization Period, such dispute will be referred to the appropriate senior management in the area of the dispute. If such senior management are unable to resolve such dispute, such dispute will be referred to the Executive Vice President of Operations of ICOS and the Chief Operating Officer of Array.
