Common use of Senior Officials Clause in Contracts

Senior Officials. The Parties recognize that a bona fide dispute as to certain matters may from time to time arise during the Agreement Term, which relates to either Party's rights or obligations hereunder. In the event of the occurrence of such a dispute, either Party may, by written notice to the other Party, have such dispute referred to the [*****] of DIVERSA and the [*****] of DOW, or their successors or counterparts, for resolution by good faith negotiations within [*****] days after such notice is received at a [*****].
