SEPARATE AND CO-TRUSTEES. The Trustee may, upon giving prior written notice to the Issuer and after consultation with the Issuer where, in the reasonable opinion of the Trustee, such consultation will not be materially prejudicial to the interests of the Holders but without the consent of the Issuer, the Holders or the Couponholders, appoint any person established or resident in any jurisdiction (whether a Trust Corporation or not) to act either as a separate trustee or as a co-trustee jointly with the Trustee:
