Common use of Service-Based Vesting Condition Clause in Contracts

Service-Based Vesting Condition. Except as otherwise provided in this Section 3, the Award shall vest in full on the earlier to occur of (a) the [ ] anniversary of the Grant Date and (b) the [ ] annual meeting of the Company’s shareholders that occurs after the Grant Date, provided the Holder continuously serves as a Non-Employee Director through the applicable vesting date. The period of time prior to the vesting shall be referred to herein as the “Restriction Period.”

Except as otherwise provided in this Section 3the Plan, the Agreement or any other agreement between the Company and the Holder, the Award shall vest in full on the earlier to occur of (a) the [ ] first anniversary of the Grant Date and (b) the [ ] date of the annual meeting of the Company’s shareholders that occurs after stockholders immediately following the Grant Date, ; provided the Holder remains continuously serves in service as a Non-Employee Director member of the Board of Directors of the Company (the “Board”) through the applicable vesting date.
