SERVICE; DISTRIBUTOR OBLIGATIONS Clause Samples

SERVICE; DISTRIBUTOR OBLIGATIONS. (a) Security Devices may be provided to Distributor in connection with the provision of Service.
(b) Distributor shall designate to Nasdaq at least one Security Administrator along with a clear explanation of such a person’s scope of authority related to the Service. Nasdaq may request clarification of the Security Administrator or object to the Security Administrator for any reason.
(c) Distributor is required to ensure Security Administrators and Internal Subscribers adhere to the Nasdaq Requirements. Distributor shall be responsible, under regulation, contract, tort or otherwise, for all actions or omission of a Security Administrator an Internal Subscriber (including those that would have been performed by a Security Administrator or an Internal Subscriber had one been name at the time.)
