Common use of Servicer and Sub-Servicers Clause in Contracts

Servicer and Sub-Servicers. (a) Acting directly or through one or more Sub-Servicers as provided in Section 8.3 hereof, the Servicer shall service and administer the Mortgage Loans in accordance with the Servicing Standards. Unless otherwise specified herein with respect to specific obligations of the Servicer, the Servicer shall service and administer the Mortgage Loans in accordance with the Servicing Standards, and, subject only to the terms of the respective Mortgage Loans, shall have full power and authority, acting alone or through Sub-Servicers as provided herein, to do or cause to be done any and all things in connection with such servicing and administration which it may deem necessary or desirable. The Servicer shall promptly notify the Backup Servicer in writing of any event, circumstance or occurrence which materially adversely affects the ability of the Servicer to service the Mortgage Loans or to otherwise perform and carry out its duties, responsibilities and obligations under and in accordance with the Servicing Standards.
