Servicer Certificate. Together with each Monthly Report, the Servicer shall submit to the Borrower, the Backup Servicer, each Managing Agent and the Administrative Agent a certificate (a “Servicer’s Certificate”), signed by a Responsible Officer of the Servicer and substantially in the form of Exhibit F, which may be incorporated in the Servicer Report. Except as otherwise set forth in the Backup Servicing Agreement, the Backup Servicer shall have no obligation to review any information in the Servicer Certificate.

On or before the close of business on each Determination Date prior to the satisfaction and discharge of the Indenture with respect to the Collateral, the Servicer shall make available to the Indenture Trustee, the Issuing Entity, the Administrator, the Closed-End Administrative Agent, the Closed-End Collateral Agent, the Owner Trustee and the Paying Agent at hxxxx://xxx.xxxxxxxxxx.xxx/, or such other website or distribution service or provider as the Servicer shall designate by written notice to the Indenture Trustee, the Issuing Entity, the Administrator, the Closed-End Administrative Agent, the Closed-End Collateral Agent, the Owner Trustee and the Paying Agent, a Servicer Certificate reflecting information as of the close of business of the Servicer for the immediately preceding Closed-End EN Collection Period containing the information described in Section 8.3 of the Indenture.

On each Determination Date prior to the satisfaction and discharge of the Indenture with respect to the Collateral, the Servicer shall deliver prior to 11:00 a.m., New York City time, on such date to the Indenture Trustee, the Issuer, the SUBI Trustee, the Administrator and each Paying Agent a Servicer Certificate reflecting information as of the close of business of the Servicer for the immediately preceding Collection Period containing the information described in Section 8.3(a) of the Indenture. At the sole option of the Servicer, each Servicer Certificate may be delivered in electronic or hard copy format.

On each Determination Date prior to the satisfaction and discharge of the Indenture with respect to the Collateral, the Servicer shall deliver to the Indenture Trustee, the Issuer, the Administrator and each Paying Agent a Servicer Certificate reflecting information as of the close of business of the Servicer for the immediately preceding Collection Period containing the information described in Section 8.3(a) of the Indenture. At the sole option of the Servicer, each Servicer Certificate may be delivered in electronic or hard copy format.

Servicer Certificate. (a) On or prior to the close of business on each Determination Date, the Issuing Entity shall cause the Servicer to agree to deliver to the Indenture Trustee, the Issuing Entity, the Administrator and each Paying Agent hereunder, a certificate (the “Servicer Certificate”) including, among other things, the following information with respect to the related Collection Period:
(i) the amount of the distribution allocable to principal of each Class of Notes;
(ii) the amount of the distribution allocable to interest on each Class of Notes;
(iii) the aggregate Note Balance of, and the Note Factor for, each Class of Notes as of the last day of the preceding Collection Period, after giving effect to payments on such Payment Date;
(iv) the amount of the Servicing Fee paid to the Servicer with respect to the related Closed-End EN Collection Period, the amount of any unpaid Servicing Fees and the change in the amount from that of the prior Closed-End Exchange Note Payment Date;
(v) the number and the aggregate purchase amount of Transaction Leases that have been repurchased by the Servicer;
(vi) the Noteholders’ First Priority Principal Distributable Amount, if any, for the related Payment Date;
(vii) the Noteholders’ Second Priority Principal Distributable Amount, if any, for the related Payment Date;
(viii) the Noteholders’ Regular Principal Distributable Amount for the related Payment Date;
(ix) the Interest Rate for each Class of the Notes for the related Payment Date;
(x) the amount of any Class A-1 Noteholders’ Interest Carryover Shortfall, Class A-2 Noteholders’ Interest Carryover Shortfall, Class A-3 Noteholders’ Interest Carryover Shortfall, Class A-4 Noteholders’ Interest Carryover Shortfall, and Class B Noteholders’ Interest Carryover Shortfall, on the related Payment Date;
(xi) the balance of the Reserve Account after giving effect to deposits and withdrawals to be made on that Closed-End Exchange Note Payment Date;
(xii) the Administration Fee for the related Collection Period;
(xiii) the aggregate Securitization Value and aggregate Base Residual Value of Transaction Units;
(xiv) the number and Securitization Value of Transaction Unit turn-ins;
(xv) the number of Transaction Units at the beginning and end of the Closed-End Collection Period;
(xvi) the Overcollateralization Amount for the related Payment Date on the Exchange Note and the Notes;
(xvii) whether the Delinquency Trigger has occurred on the related Payment Date;

Servicer Certificate. Together with each Servicing Report, the Servicer shall submit to the Administrative Agent, each Lender and the Collateral Agent a certificate substantially in the form of Exhibit I (a "Servicer Certificate"), signed by a Responsible Officer of the Servicer, which shall include a certification by such Responsible Officer that, to his/her knowledge, no Event of Default, Servicer Default or Unmatured Event of Default has occurred as of the date of such Servicer Certificate.

(b) Upon receipt of notice from the Administrator of the determination of a Benchmark Replacement and/or the making of any Benchmark Replacement Conforming Changes, or of any SOFR Adjustment Conforming Changes, the Servicer shall include in the Servicer Certificate any information regarding the Benchmark Replacement, the Benchmark Replacement Date and any such Benchmark Replacement Conforming Changes or any SOFR Adjustment Conforming Changes, as applicable, provided by the Administrator.
