Common use of SERVICER'S EVIDENCE AS TO COMPLIANCE Clause in Contracts

SERVICER'S EVIDENCE AS TO COMPLIANCE. For such time as the Issuer is required to file reports or information pursuant to Section 13 or 15(d) of the Securities Exchange Act of 1934, as amended, the Issuer shall cause the Servicer on or before March 31 of each calendar year, commencing with the year 1997, to cause a firm of Accountants to furnish a report to the Trustee and the Issuer to the effect that such firm has examined certain documents and records relating to the servicing of the Student Loans, compared the information contained in the Servicer Remittance Reports delivered during the period covered by the report with such documents and records relating to the servicing of the Student Loans and that, on the basis of such examination and comparison, nothing has come to the attention of such accountants to indicate that such servicing was not in compliance with The National Collegiate Trust's GATESM Policies and Procedures Manual and the Servicing Agreement except for such exceptions or errors as such firm shall believe to be immaterial and such other exceptions as shall be set forth in such statements.
