Services Provided on an Ongoing Basis. If Applicable. (i) Calculate 12b-1 payments to financial intermediaries, including brokers, and financial intermediary trail commissionspayments; (ii) Develop, monitor and maintain, in consultation with the Fund, all systems necessary to implement and operate the four-tier distribution system, including Class B conversion feature, as described in the registration statement and related documents of the Fund, as they may be amended from time to time; (iii) Calculate contingent deferred sales charge amounts upon redemption of Fund shares and deduct such amounts from redemption proceeds; (iv) Calculate front-end sales load amounts at time of purchase of shares; (v) Determine dates of Class B conversion and effect the same; (vi) Establish and maintain proper Maintain shareholder registrations; (viiiii) Review new applications and correspond with shareholders to complete or correct information; (viiiiv) Direct payment processing of checks or wires; (ixv) Prepare and certify stockholder shareholder lists in conjunction with proxy solicitations; (xvi) Countersign share certificates; (vii) Prepare and mail to shareholders confirmation of activity; (xiviii) Provide toll-free lines for direct shareholder use, plus customer liaison staff for on-line inquiry response; (xiiix) Send Mail duplicate confirmations to broker-dealers of their clients' activity, whether executed through the broker-dealer or directly with PFPCPNC; (xiiix) Provide periodic shareholder lists, outstanding share calculations lists and related statistics to the Fund; (xivxi) Provide detailed data for underwriter/broker confirmations; (xvxii) Prepare and mail required calendar and taxable periodic mailing of year-end tax and statement information (including forms 1099-DIV and 1099-B and accompanying statements)information; (xvixiii) Notify on a daily timely basis the investment adviser, accounting agent, and custodian of fund Share activity; (xvii) Perform, itself or through a delegate, all of the services, whether or not included within the scope of another paragraph of this Paragraph 16(a), specified on Annex B hereto; and (xviiixiv) Perform other participating broker-dealer shareholder services as may be agreed upon from time to time; (xv) Accept and post daily Share purchases and redemptions; (xvi) Accept, post and perform shareholder transfers and exchanges; (xvii) Issue and cancel certificates (when requested in writing by the shareholder); and (xviii) Perform certain administrative and ministerial duties relating to opening, maintaining and processing transactions for shareholders or financial intermediaries that trade shares through the NSCC. (xix) Monitor the sale of Shares in order to monitor compliance with the Fund’s limitation on authorized and issued Shares.

In connection with the foregoing enumerated services, provide such other related services as are reasonably necessary to provide the enumerated services effectively.
