Common use of Services Provided to the Company Clause in Contracts

Services Provided to the Company. Commencing as of April 13, 1998 ("Start Date"), Executive shall be employed by the Company as its President and Chief Operating Officer and Executive agrees to such employment. During the term of this Agreement, Employee shall devote all of his regular working hours to the business and welfare of the Company and its subsidiaries. Executive, however, may spend a reasonable amount of time with respect to charitable and civic activities (including serving on the board of directors of charitable organizations) and may make personal investments or conduct private business affairs to the extent that such activities do not materially interfere with the services required under this Agreement.

Services Provided to the Company. Commencing as of April 13May 1, 1998 ("Start Date"), Executive shall be employed by the Company as its Vice President of Marketing and Chief Operating Officer Sales, and Executive agrees to such employment. During the term of this Agreement, Employee shall devote all of his regular working hours to the business and welfare of the Company and its subsidiaries. Executive, however, may spend a reasonable amount of time with respect to charitable and civic activities (including serving on the board of directors of charitable organizations) and may make personal investments or conduct private business affairs to the extent that such activities do not materially interfere with the services required under this Agreement.

Commencing as of April 13July 27, 1998 ("Start Date"), Executive shall be employed by the Company as its President and Vice President, Chief Operating Officer Technology Officer, and Executive agrees to such employment. During the term of this Agreement, Employee shall devote all of his regular working hours to the business and welfare of the Company and its subsidiaries. Executive, however, may spend a reasonable amount of time with respect to charitable and civic activities (including serving on the board of directors of charitable organizations) and may make personal investments or conduct private business affairs to the extent that such activities do not materially interfere with the services required under this Agreement.

During the term of this Agreement, Employee shall devote all of his regular working hours to the business and welfare of the Company and its subsidiaries. Executive, however, may spend a reasonable amount of time with respect to charitable and civic activities (including serving on the board of directors of charitable organizations) and may make personal investments or conduct private business affairs to the extent that such activities do not materially interfere with the services required under this Agreement. It is envisioned that Executive shall eventually become the Chief Financial Officer of the Company.
