SERVICES TO BE PROVIDED BY THE ADMINISTRATOR. A. The Administrator shall supervise the administrative affairs of the Fund as they pertain to the Portfolio. Specifically, the Administrator shall: (1) supervise the services provided to the Fund for the benefit of the Portfolio by the Portfolio's custodian, transfer and dividend disbursing agent, printers, insurance carriers (as well as agents and brokers), independent accountants, legal counsel and other persons who provide services to the Fund for the benefit of the Portfolio; (2) assist the Fund to comply with the provisions of applicable federal, state, local and foreign securities, tax, organizational and other laws that (i) govern the business of the Fund in respect of the Portfolio (except those that govern investment of the Portfolio's assets), (ii) regulate the offering of the Portfolio's shares and (iii) provide for the taxation of the Portfolio; (3) provide the shareholders of the Portfolio with such information regarding the operation and affairs of the Portfolio, and their investment in its shares, as they or the Fund may reasonably request; (4) assist the Portfolio to conduct meetings of its shareholders if and when called by the board of directors of the Fund; (5) furnish such information as the board of directors of the Fund may require regarding any investment company in whose shares the Portfolio may invest; and (6) provide such other administrative services for the benefit of the Portfolio as the board of directors may reasonably request. B. In carrying out its responsibilities under Section A herein, to the extent the Administrator deems necessary or desirable and at the expense of the Portfolio, the Administrator shall be entitled to consult with, and obtain the assistance of, the persons described in Section A, paragraph (1) herein who provide services to the Fund. C. The Administrator, at its own expense, shall provide the Fund with such office facilities and equipment as may be necessary to conduct the administrative affairs of the Fund in respect of the Portfolio.

SERVICES TO BE PROVIDED BY THE ADMINISTRATOR. A. The Administrator shall supervise Administrator, as administrator for the administrative Funds, will, at its own expense:
(a) Furnish to the Funds the services of its employees and agents in the management and conduct of the corporate business and affairs of the Fund Funds;
(b) If requested, provide the services of its officers as they pertain administrative executives of the Funds and the services of any trustees of the Funds who are "interested persons" of the Administrator or its affiliates, as that term is defined in the Act, subject in each case to their individual consent to serve and to applicable legal limitations;
(c) Provide office space, secretarial and clerical services and wire and telephone services (not including toll charges, which will be reimbursed by the Funds under Section 2 below), and monitor and review the Funds' contracted services and expenditures;
(d) Prepare or supervise the preparation of periodic reports to the Portfolio. SpecificallyFunds' shareholders and prepare and file, with such advice of counsel as reasonably deemed necessary by the Administrator, such documents and other papers as may be required to comply with the rules, regulations and requirements of the Securities and Exchange Commission ("SEC") and other governmental agencies, whether state or federal, except that the Funds shall bear the expenses provided for in Section 2 hereof (special services, if any, rendered to individual shareholders or groups of shareholders shall not be included in the services to be rendered by the Administrator shall:pursuant to this paragraph, but the Administrator shall be reimbursed for the actual cost of such services pursuant to the provisions of Section 2 below);
(1e) supervise Coordinate the services provided to the Fund for the benefit of the Portfolio Funds by the Portfolio's custodianinvestment advisors, transfer and dividend disbursing agents, custodians, sub-administrators, shareholder servicing agent, printers, insurance carriers (as well as agents independent auditors and brokers), independent accountants, legal counsel and other persons who provide services to the Fund for the benefit of the Portfolio;
(2) assist the Fund to comply with the provisions of applicable federal, state, local and foreign securities, tax, organizational and other laws that (i) govern the business of the Fund in respect of the Portfolio (except those that govern investment of the Portfolio's assets), (ii) regulate the offering of the Portfolio's shares and (iii) provide for the taxation of the Portfolio;
(3) provide the shareholders of the Portfolio with such information regarding the operation and affairs of the Portfolio, and their investment in its shares, as they or the Fund may reasonably request;
(4) assist the Portfolio to conduct meetings of its shareholders if and when called by the board of directors of the Fund;
(5) furnish such information as the board of directors of the Fund may require regarding any investment company in whose shares the Portfolio may investcounsel; and
(6f) provide Report to the Trustees of the Company concerning its activities pursuant to this Agreement at regular meetings of the Trustees and at such other administrative services for the benefit of the Portfolio times as the board of directors Trustees may reasonably request.
