Common use of Services to the Corporation Clause in Contracts

Services to the Corporation. Indemnitee will serve or continue to serve, at the will of the Corporation or under separate contract, if such exists, as an officer and/or director of the Corporation for so long as Indemnitee is duly elected or appointed and qualified in accordance with the Certificate of Incorporation and By-Laws or until Indemnitee tenders his or her resignation. If Indemnitee is an employee at will of the Corporation, nothing herein shall change such employee’s status as an employee at will.

Services to the Corporation. Indemnitee will serve or continue to serveserve as a director and/or officer of the Corporation and/or one or more of the Corporation’s subsidiaries until Indemnitee’s successor is duly elected and qualified or appointed or until Indemnitee’s earlier resignation, at the will removal or death. If Indemnitee is also an employee of the Corporation or under separate contract, if such exists, as an officer and/or director any of the Corporation for so long as Indemnitee is duly elected or appointed and qualified in accordance with the Certificate of Incorporation and By-Laws or until Indemnitee tenders his or her resignation. If Indemnitee is an employee at will of the Corporationits subsidiaries, nothing herein shall change such employeeIndemnitee’s status as an employee at willof the Corporation or such subsidiary, and nothing contained in this Agreement is intended to create in Indemnitee any right to continued employment.
