SERVICING ACTIVITIES. During the term of this Interim Agreement: (a) Subservicer shall perform all servicing activities with respect to the Mortgage Loans that are required by, and in accordance with the Applicable Requirements. Subservicer shall observe and perform all material covenants, undertakings and obligations required to be observed or performed under to the Interim Agreement, the Purchase and Sale Agreement and the Applicable Requirements. All representations and warranties of Subservicer continued in the Purchase and Sale Agreement are incorporated herein by reference and deemed made by Subservicer on and as of the Sale Date and the Transfer Date. Subservicer shall exercise at least the same standard of care as it usually does in servicing mortgage loans for its own account. (b) Subservicer shall use commercially reasonable efforts to collect payments due from Mortgagors under the Mortgage Loans as they become due, including but not limited to (i) principal, (ii) interest, (iii) amounts for hazard and flood insurance premiums, mortgage insurance or guaranty premiums, taxes, legal fees, and costs, as well as repayment of amounts advanced by the Subservicer on behalf of the Mortgagor, (iv) late charges, (v) assumption fees and (vi) bad check charges. (c) During the term of this Interim Agreement, Subservicer shall prepare and deliver to the applicable Investors (with a copy to FNMC) all reports relating to the Mortgage Loans that are required pursuant to the Applicable Requirements. All such reports shall be delivered in a timely manner. Subservicer will provide FNMC with copies of existing computer reports as reasonably requested or a monthly master tape, if requested and to the extent available. (d) Subservicer shall not, without the prior written consent of FNMC, destroy any Mortgage File records in its possession that relate to the Mortgage Loans, nor shall it instruct any third party to destroy such records. (e) During the term of this Interim Agreement, FNMC shall have the right to inspect and audit Subservicer's servicing activities and operations, during normal business hours provided that any such inspection and audit shall not unreasonably interfere with Subservicer's activities hereunder and that reasonable notice is given. Subservicer agrees to cooperate with FNMC and to make available such Mortgage File records and other information as FNMC may reasonably request. In the event that FNMC discovers any pattern or practice of Subservicer that is materially inconsistent with Applicable Requirements, FNMC may notify Subservicer thereof and Subservicer shall use commercially reasonable efforts to cure or correct such pattern or practice. This paragraph (e) shall not limit the indemnification obligations of Subservicer hereunder or under the Purchase and Sale Agreement. (f) In addition to the other obligations of Subservicer set forth herein, Subservicer shall process all loan payoffs in the ordinary and normal course of business, and materially in accordance with Applicable Requirements. Subservicer shall cause all payoff checks received by it, or on its behalf, to be date-stamped on the same date that it is received. (g) Seller shall cause all forced order policies to be canceled as of the applicable Transfer Date.

SERVICING ACTIVITIES. During the term of this Interim Agreement: (a) Subservicer shall perform all servicing activities with respect to the Mortgage Loans that are required by, and in accordance with the Applicable Requirements. Subservicer Servicer shall observe and perform all material covenants, undertakings undertakings, obligations, representations and obligations warranties required to be observed or performed under pursuant to the Interim AgreementGuide including, where permissible and appropriate, acting on behalf of and in the name of NovaStar Financial, as appropriate, provided, however, that notwithstanding any provisions in this Agreement to the contrary, NovaStar and not Servicer shall perform any responsibilities under the Guide which, by their terms, must be performed by NovaStar and not Servicer. Servicer shall at all times service the Mortgage Loans in accordance with applicable federal and state statutes and regulations, contractual provisions, the Purchase Guide and Sale Agreement generally accepted prudent mortgage banking practices. NovaStar agrees that unless it provides Servicer with written instructions, Servicer shall have complete discretion (subject to the terms of the Guide) with respect to the manner of servicing the Mortgage Loans, including but not limited to the exercise of discretion with respect to the assessment or waiver of late charges, the acceptance or rejection of partial payments, and the Applicable Requirementstime to xxx for foreclosure. (b) Subservicer Servicer shall on behalf of NovaStar Financial use commercially reasonable efforts to collect all payments due from the Mortgagors under the Mortgage Loans as they become due, including but not limited to (i) principal, (ii) interest, (iii) amounts for hazard and flood insurance premiums, mortgage insurance or guaranty premiumspayments with regard to prior liens, taxes, legal fees, foreclosure costs, and costsother miscellaneous advances and monthly escrow and impound payments, as well as repayment repayments of amounts advanced by the Subservicer on behalf of the MortgagorMortgagors for such items, (iv) late charges, (v) assumption fees and extension fees, (vi) bad check charges, and (vii) insurance premiums for mortgage life and disability insurance, such efforts to include but not be limited to the specific duties set forth herein. (c) All appropriate deposits into and remittances from escrow/impound accounts shall be made in accordance with Section 6 hereof. (d) Servicer shall remit to NovaStar Financial or its designee, in accordance with the terms and conditions of the Guide, payments of principal and interest received in connection with each Mortgage Loan no later than (i) the fifteenth (15th) and (ii) the last day of the month of receipt; and shall make any necessary deposits to or withdrawals from the Related Escrow Accounts. (e) Servicer shall keep and maintain a complete and accurate account reasonably satisfactory to NovaStar Financial of all funds collected and paid relating to the Mortgage Loans. NovaStar Financial or persons authorized by NovaStar may, at NovaStar's expense, during or after the term of this Agreement, reasonably audit all or any part of Servicer's performance hereunder. (f) Servicer shall not solicit or cause to be solicited any prepayment of all or any part of the Mortgage Loans, and Servicer shall process all assumptions and modifications of Mortgage Loans in accordance with applicable provisions of the Guide and the written consent of NovaStar Financial. (g) Servicer will give representatives of NovaStar Financial full access, during normal business hours, to the books, records, agreements and other documents of Servicer relating to the Mortgage Loans serviced pursuant to this Agreement or to Servicer's servicing procedures, and will furnish such representatives with such other information and data concerning the affairs of Servicer as NovaStar may reasonably request. Servicer also shall facilitate the furnishing to NovaStar Financial of computer reports containing information regarding the Mortgage Loans subserviced pursuant to this agreement, which shall be limited to those reports outlined in Section 5 of this Agreement, unless otherwise agreed to by the parties. (h) During the term of this Interim Agreement, Subservicer Servicer shall prepare and deliver to the applicable Investors (with a copy to FNMC) all reports relating to the Mortgage Loans to NovaStar Financial that are required pursuant to the Applicable RequirementsGuide. All such reports shall be timely delivered in a timely manner. Subservicer will provide FNMC with copies of existing computer reports as reasonably requested by Servicer to NovaStar Financial or a monthly master tape, if requested and to the extent availableits designee. (di) Subservicer Servicer shall not, without maintain the prior written consent of FNMC, destroy any Records in accordance with the Guide. (j) Servicer shall be responsible for maintaining adequate hazard insurance and for safeguarding NovaStar Financial's interest in the real estate underlying the Mortgage File records in its possession that relate to Loans and NovaStar's rights under the Mortgage Loans, nor shall it instruct any third party to destroy such recordsall in accordance with the Guide. (ek) During Servicer shall to the term extent practicable, secure any premises found to be vacant or abandoned, and advise NovaStar of this Interim Agreementthe status thereof. (l) Servicer shall advise NovaStar in writing with respect to requests for partial releases, FNMC easements, divisions, subordinations, alterations, or waivers of security instrument terms. (m) Servicer shall have advise NovaStar of any change of which it is aware in the right to inspect and audit Subservicer's servicing activities and operations, during normal business hours provided that any such inspection and audit shall not unreasonably interfere with Subservicer's activities hereunder and that reasonable notice is given. (b) Subservicer shall use commercially reasonable efforts to collect payments due from the Serviced Mortgagors under the Serviced Mortgage Loans as they become due. Sellers shall exercise no less than the standard of care that is consistent with past practices and required by the applicable Servicing Agreements and Subservicing Agreements and Applicable Servicing Requirements. Among the services to be provided by Sellers during the Term, including but not limited to without limitation, are the following: (a) Sellers shall (i) principaltimely remit payments of principal and interest received to the Investor for each of the Serviced Mortgage Loans, in accordance with the applicable Servicing Agreement or Subservicing Agreement, (ii) interestmake any necessary deposits to or withdrawals from the Escrow Accounts, and (iii) amounts for hazard remit to Purchaser the Servicing Compensation earned during the term of this Agreement within ten (10) Business Days after the termination of this Agreement. (b) Sellers shall keep and flood insurance premiumsmaintain a complete and accurate accounting, mortgage insurance reasonably satisfactory to Purchaser, of all funds collected and paid relating to the Serviced Mortgage Loans, the Servicing Agreements and the Subservicing Agreements. Purchaser or guaranty premiumspersons authorized by Purchaser may, taxesat Purchaser’s expense and not later than the 30th day following the Servicing Transfer Date, legal fees, audit all accounting records relating to Sellers’ compliance with this Agreement and costs, Sellers and Purchaser agree to make any accounting corrections which are necessary as well as repayment a result of amounts advanced by the Subservicer on behalf of the Mortgagor, (iv) late charges, (v) assumption fees and (vi) bad check chargessuch audit. Subservicer agrees to cooperate with FNMC and to make available such Mortgage File records and other information as FNMC may reasonably request. In the event that FNMC discovers any pattern or practice of Subservicer that is materially inconsistent with Applicable Requirements, FNMC may notify Subservicer thereof and Subservicer shall use commercially reasonable efforts to cure or correct such pattern or practice. (f) In addition Sellers shall make all corporate advances, P&I advances and T&I advances that are required under the Servicing Agreements and Subservicing Agreements and are eligible for reimbursement by the Investor, subject to reimbursement by the other obligations of Subservicer set forth herein, Subservicer shall process all loan payoffs in the ordinary and normal course of business, and materially in accordance with Applicable Requirements. Interim Servicer will sub-service each Serviced Mortgage Loans, fulfilling each and every obligation, both regulatory and contractual, arising hereunder or under any Servicing Agreement. Interim Servicer shall exercise no less than the standard of care that it exercises in the servicing of loans for its own account. Among the services to be provided by Interim Servicer during the term of this Agreement, without limitation, are the following: (a) Interim Servicer shall timely remit payments of principal and interest received in accordance with Investor Guidelines to the Investors for each of the Serviced Mortgage Loans, in accordance with the applicable Servicing Agreement, will make any necessary deposits to or withdrawals from Related Escrow Accounts, will credit the Servicing Fee Income and fifty percent 50% of the late charge income to EverBank and will remit to EverBank such Servicing Fee Income and fifty percent 50% of the late charge income within five (5) Business Days of the month end, provided however, Interim Servicer will remit to EverBank within five (5) business days of the final Transfer Date the remaining funds due under this Agreement. In addition, Interim Servicer will timely remit any optional insurance premiums, including without limitation private mortgage insurance, to the appropriate insurance carrier. Furthermore, Interim Servicer will submit reports, certified as being true and correct by a duly authorized officer of Interim Servicer, verifying the accuracy of the foregoing. (b) Interim Servicer shall keep and maintain a complete and accurate accounting, satisfactory to EverBank, of all funds collected and paid relating to the Serviced Mortgage Loans and the Servicing Agreements. EverBank or persons authorized by EverBank may, at EverBank’s expense, audit all accounting records relating to Interim Servicer’s compliance with this Agreement and Interim Servicer and EverBank agree to make any adjustments which are necessary as a result of such audit. (c) During Interim Servicer will maintain and employ throughout the term hereof a sufficient number of this qualified employees to perform the servicing activities to be carried out hereunder in an efficient and professional manner, in no event less diligently than was carried out by Interim Agreement, Subservicer shall prepare and deliver to Servicer when it was the applicable Investors (with a copy to FNMC) all reports relating to owner of the Mortgage Loans that are required pursuant to the Applicable Requirements. All such reports shall be delivered in a timely manner. Subservicer will provide FNMC with copies of existing computer reports as reasonably requested or a monthly master tape, if requested and to the extent availableServicing. (d) Subservicer Interim Servicer shall continue to deliver to the Investors those reports, information or computer tapes relating to the Serviced Mortgage Loans that Interim Servicer delivered in the ordinary course of business and in accordance with the Servicing Agreements with the Investors immediately prior to the Sale Date. Such reports, information or computer tapes shall be timely delivered. If requested by EverBank, it shall be entitled to review such reports or information prior to their delivery to the Investors. (e) Interim Servicer shall not, without the prior written consent of FNMCEverBank, destroy any Mortgage File records Records in its possession that relate to the Mortgage Loans, nor shall it instruct any third party to destroy such records. (e) During the term of this Interim Agreement, FNMC shall have the right to inspect and audit Subservicer's servicing activities and operations, during normal business hours provided that any such inspection and audit shall not unreasonably interfere with Subservicer's activities hereunder and that reasonable notice is given. Subservicer agrees to cooperate with FNMC and to make available such Mortgage File records and other information as FNMC may reasonably request. In the event that FNMC discovers any pattern or practice of Subservicer that is materially inconsistent with Applicable Requirements, FNMC may notify Subservicer thereof and Subservicer shall use commercially reasonable efforts to cure or correct such pattern or practice. This paragraph (e) shall not limit the indemnification obligations of Subservicer hereunder or under the Purchase and Sale Agreementpossession. (f) In addition to Interim Servicer shall handle all collection and Foreclosure efforts with the other obligations Mortgagors of Subservicer set forth herein, Subservicer shall process Serviced Mortgage Loans in its own name and provide and handle all loan payoffs delinquency notices in the ordinary and normal course of business, and materially in accordance with Applicable Requirements. Subservicer shall cause all payoff checks received by it, or on its behalf, to be date-stamped on the same date that it is receivedown name. (g) Seller Interim Servicer shall cause collect and accept payments from the Mortgagors on the Serviced Mortgage Loans in compliance with applicable Servicing Agreements, private mortgage insurance companies, and other appropriate regulatory agencies’ guidelines. (h) Interim Servicer shall pay all forced order policies real estate taxes so as to be canceled as obtain the maximum discount and in any event pay all taxes which are due and payable on or prior to the Transfer Date or thirty (30) days subsequent thereto. (i) Interim Servicer shall prepare and record a Satisfaction of Mortgage Loan for each Mortgage Loan that is paid in full during the applicable Transfer Dateterm of this Agreement. This obligation shall survive termination of this Agreement.

(b) Subservicer shall use commercially reasonable efforts to collect all payments due from Mortgagors under the Mortgage Loans as they become due, including but not limited to (i) principal, (ii) interest, (iii) amounts escrow deposits, (iv) advances for hazard and flood insurance premiums, mortgage insurance or guaranty premiums, payments with regard to liens, taxes, legal fees, and foreclosure costs, as well as repayment of amounts advanced by the Subservicer on behalf of the Mortgagor, (iv) late chargesand other miscellaneous advances, (v) assumption fees late charges and speedpay fees, (vi) bad extension, assumption, transfer and similar fees, (vii) insufficient funds check charges, and (viii) optional insurance related charges. Seller shall exercise no less than the standard of care that it exercises in the servicing of loans for its own account for similar mortgage loans. All such amounts received shall be held separate and apart from Seller’s own funds if and to the extent required under the Servicing Agreement. Seller shall have all necessary Servicing authority of the Purchaser under the applicable Servicing Agreement, which is hereby delegated to the Seller by the Purchaser, to service and administer the Mortgage Loans in accordance with this Addendum and Applicable Requirements. Among the services to be provided by Seller during the term of this Addendum, without limitation, are the following, all to be performed in accordance with Applicable Requirements and this Addendum: (a) Seller shall timely remit payments of principal and interest received to the Investor for each of the Mortgage Loans, make any necessary deposits to or withdrawals from the Related Escrow Accounts and Custodial Accounts, and remit to Purchaser the Servicing Fee, less Seller’s Interim Servicing Fee, within ten (10) Business Days after each calendar month-end. (b) Seller shall keep and maintain a complete and accurate set of books and records, in customary form and with customary content, including without limitation, an accounting of all funds collected and paid relating to the Mortgage Loans and the Servicing Agreement. Purchaser or Persons authorized by Purchaser may, at Purchaser’s expense, audit all applicable accounting records relating to Seller’s compliance with this Addendum, and Seller and Purchaser agree to make any accounting corrections which are appropriate or necessary in connection therewith subject to the dispute resolution procedures in Section 12.10(i) of the Agreement. (c) During Seller will maintain and employ throughout the term hereof a sufficient number of this Interim Agreementqualified employees or contractors to perform the servicing activities to be carried out hereunder in an efficient and professional manner, Subservicer in no event less diligently than was carried out by Seller when it was the owner of the Mortgage Servicing Rights. At all times throughout the term, Seller shall prepare maintain physical facilities and systems from which the Servicing can be performed in a manner consistent with the foregoing. (d) Seller shall continue to deliver to the applicable Investors (with a copy to FNMC) all reports those reports, information or computer tapes relating to the Mortgage Loans that are required pursuant Seller delivered in the ordinary course of business immediately prior to the Applicable RequirementsSale Date. All Duplicate copies of such reports shall be delivered reports, in a timely manner. Subservicer mutually agreeable format, will provide FNMC with copies of existing computer reports as reasonably requested or a monthly master tape, if requested and be provided to the extent available. Purchaser within ten (d10) Subservicer shall not, without Business Days of the prior written consent of FNMC, destroy any Mortgage File records in its possession that relate to the Mortgage Loans, nor shall it instruct any third party to destroy such recordsrespective Investor deadlines for each report’s finalization. (e) During Seller shall promptly deliver, or cause to be delivered to Purchaser or its designee all Credit and Servicing Files or Collateral Files at the end of the term of this Interim Agreement, FNMC shall have the right to inspect and audit Subservicer's servicing activities and operations, during normal business hours Addendum or as otherwise provided that any such inspection and audit for in this Addendum. Seller shall not unreasonably interfere with Subservicer's activities hereunder destroy any Credit and that reasonable notice is given. Subservicer agrees to cooperate with FNMC and to make available such Mortgage File records and Servicing Files or Collateral Files, other information as FNMC may reasonably request. In the event that FNMC discovers any pattern or practice of Subservicer that is materially inconsistent with Applicable Requirements, FNMC may notify Subservicer thereof and Subservicer shall use commercially reasonable efforts to cure or correct such pattern or practice. This paragraph (e) shall not limit the indemnification obligations of Subservicer hereunder or under the Purchase and Sale Agreementthan duplicate copies. (f) In addition to Seller shall handle all collection and foreclosure efforts with the other obligations Mortgagors of Subservicer set forth herein, Subservicer shall process Mortgage Loans in its own name and provide and handle all loan payoffs delinquency notices in the ordinary and normal course of business, and materially in accordance with Applicable Requirements. Subservicer shall cause all payoff checks received by it, or on its behalf, to be date-stamped on the same date that it is receivedown name. (g) Seller shall cause collect and accept payments from the Mortgagors on the Mortgage Loans. (h) Seller shall pay all forced order policies real estate taxes. (i) Seller shall prepare and record a satisfaction of Mortgage Loan for each Mortgage Loan that is paid in full during the term of this Addendum. (j) Seller shall pay all hazard, flood and mortgage insurance premiums, and similar items. Seller shall continue to be canceled process and disburse insurance loss drafts and settlements during the term of this Addendum. (k) Seller shall make all Advances that are required under the Servicing Agreement and, except as provided in Section 3.02(e) hereof, are eligible for reimbursement by the Investors, subject to reimbursement by the Purchaser in accordance with the terms of the Agreement. (l) Seller shall mail all IRS forms, including without limitation form numbers 1099, 1099A or 1098, to all Persons entitled to receive such forms for the period from the inception of Servicing until the applicable Servicing Transfer DateDate with respect to the Servicing. Seller shall provide concurrent copies of such forms to Purchaser.
