SET-OFF AND DEDUCTIONS. All payments to be made by the Vendor and the Warrantor under this Deed shall be made in full without set-off or counterclaim or any restriction or condition and free and clear of any present or future taxes, duties, charges or other deductions or withholdings of any nature. If any deduction or withholding is required to be made from any such payment the Vendor and the Warrantor shall, together with such payment, pay such additional amount as is necessary to ensure that the recipient receives the full amount due hereunder.
SET-OFF AND DEDUCTIONS. All payments to be made by the Indemnifier under this Deed shall be made in full without set-off or counterclaim or any restriction or condition and free and clear of any present or future taxes, duties, charges or other deductions or withholdings of any nature. If any deduction or withholding is required to be made from any such payment the Indemnifier shall, together with such payment, pay such additional amount as is necessary to ensure that the recipient receives the full amount due hereunder.
SET-OFF AND DEDUCTIONS. All payments made by the Guarantor under this Deed shall be made without set-off or deduction (whether legal or equitable) save as permitted by law.
SET-OFF AND DEDUCTIONS. Canal Freight & Couriers shall be entitled to apply the whole or any monies which may become payable to the Sub Contractor in terms of this Agreement, towards any indebtedness of the Sub Contractor to Canal Freight & Couriers which shall include, but not be limited to, claims by the Consignor and/or Consignee against Canal Freight & Couriers due to any failure on the part of the Sub Contractor to fulfill its obligations in terms of this Agreement. Should such indebtedness not be a liquidated amount in money, a genuine bona fide estimate thereof, authorised by a general manager of Canal Freight & Couriers from time to time, shall be applied until such amount is determined.
SET-OFF AND DEDUCTIONS. ANZ may deduct and set-off from any moneys otherwise due to the Service Provider from ANZ, any money due from the Service Provider to ANZ or paid by ANZ on behalf of the Service Provider, including any Claims incurred by ANZ as result of the termination of this Agreement. This right of set-off is without prejudice to, and is not in limitation of, any other remedies of ANZ.

If any deduction or withholding is required to be made from any such payment the Vendor and CMCC shall, together with such payment, pay such additional amount as is necessary to ensure that the recipient receives the full amount due hereunder.

All payments to be made by Bloomwell, Concentra and the Guarantors under this Deed shall be made in full without set-off or counterclaim or any restriction or condition and free and clear of any present or future taxes, duties, charges or other deductions or withholdings of any nature. If any deduction or withholding is required to be made from any such payment Bloomwell, Concentra and the Guarantors shall, together with such payment, pay such additional amount as is necessary to ensure that the recipient receives the full amount due hereunder.
SET-OFF AND DEDUCTIONS. 8.4.1 All payments to be made by the Guarantee Fund or Iceland under this Agreement will be calculated and be made:
(a) without, and clear of any deduction for, any suspension, counterclaim or set-off; and
(b) clear of any deduction or withholding for, or on account of, any tax, levy, impost, duty or other charge of a similar nature, other than any such deduction or withholding required by law.
8.4.2 If the Guarantee Fund or Iceland is required to make a deduction or withholding as referred to in subparagraph 8.4.1(b), the amount of the payment due from it will be increased to an amount which, after making the deduction or withholding, leaves an amount equal to the payment which would have been due if no deduction or withholding had been required.

All payments to be made by the Covenantor under this Deed shall be made in full without set-off or counterclaim or any restriction or condition and free and clear of any present or future taxes, duties, charges or other deductions or withholdings of any nature. If any deduction or withholding is required to be made from any such payment, the Covenantor shall, together with such payment, pay such additional amount as is necessary to ensure that the recipient receives the full amount due hereunder.
SET-OFF AND DEDUCTIONS. All payments under this Guarantee shall be made in full without set-off or counterclaim or any restriction or condition and free and clear of any present or future taxes, duties, charges or other deductions or withholdings of any nature. If any deduction or withholding is required to be made from any such payment the Guarantors shall, together with such payment, pay to the Purchaser such additional amount as is necessary to ensure that the Purchaser receives the full amount due hereunder.
