Settlement Within First Forty-Five (45) Days. Notwithstanding any other provision in this Section 13.1.1, Developer shall have the right, within the first forty- five (45) days of service of summons and petition or complaint upon the City, to determine that it does not want to defend any litigation challenging the Agreement and/or the Entitlements, or any portion thereof. In such case, Xxxxxxxxx’x shall have the right to settle the litigation on whatever terms Developer determines, in Developer sole and absolute discretion, but Developer shall confer with the City before acting, and shall take appropriate action to ensure no default is entered in the litigation against the City. In the event Developer elects to exercise its rights under this Section 13.1.1.5, Developer shall be liable for any costs and attorneys’ fees incurred by the City up to the date of settlement but shall have no further indemnity obligation to the City beyond the payment of those costs and attorneys’ fees in settlement of such litigation matter.

  • Settlement without Consent if Failure to Reimburse If at any time an indemnified party shall have requested an indemnifying party to reimburse the indemnified party for fees and expenses of counsel, such indemnifying party agrees that it shall be liable for any settlement of the nature contemplated by Section 6(a)(ii) effected without its written consent if (i) such settlement is entered into more than 45 days after receipt by such indemnifying party of the aforesaid request, (ii) such indemnifying party shall have received notice of the terms of such settlement at least 30 days prior to such settlement being entered into and (iii) such indemnifying party shall not have reimbursed such indemnified party in accordance with such request prior to the date of such settlement.
