Common use of Severability; Reformation Clause in Contracts

Severability; Reformation. The covenants in this ARTICLE IX are severable and separate, and the unenforceability of any specific covenant shall not affect the continuing validity and enforceability of any other covenant. If any court of competent jurisdiction shall determine that the scope, time time, or territorial restrictions set forth in this ARTICLE IX Section 10.2 are unreasonable as applied to a Seller, the Parties acknowledge their mutual intention and therefore unenforceable, then it is the intention of the parties agreement that such those restrictions be enforced to the fullest extent which the court deems reasonable reasonable, and this Agreement thereby shall thereby be reformedreformed to that extent.

If any court of competent jurisdiction shall determine that the scope, time time, or territorial restrictions set forth in this ARTICLE IX Section 9.3 are unreasonable and therefore unenforceableas applied to Seller or any Seller Owner, then it is the intention of the parties acknowledge their mutual intention and agreement that such those restrictions be enforced to the fullest extent which the court deems reasonable reasonable, and this Agreement thereby shall thereby be reformedreformed to that extent.
