Severed provision Sample Clauses
A severed provision clause defines what happens if a specific part of a contract is found to be invalid, illegal, or unenforceable. Typically, this clause states that the remainder of the contract will continue to be effective even if one provision is struck out or deemed unenforceable by a court. For example, if a non-compete clause is found to be too broad and unenforceable, the rest of the agreement remains intact. The core function of this clause is to preserve the validity and enforceability of the overall contract, preventing the entire agreement from being voided due to one problematic section.
Severed provision if it is not possible to agree on a legal substitute provision in accordance with paragraph (b), the relevant provision is to be severed from this Agreement or Transaction, without affecting the enforceability, legality or validity of any other provision of this Agreement or that Transaction.
