Common use of Share Option Schemes Clause in Contracts

Share Option Schemes. No adjustment will be made to the Conversion Price when Shares or other securities (including rights or options) are issued, offered, exercised, allotted, appropriated, modified or granted to, or for the benefit of, employees (including directors) of the Issuer or any of its Subsidiaries pursuant to any employee share scheme or plan (and which employee share scheme or plan is in compliance with the listing rules of the Relevant Stock Exchange).

Share Option Schemes. No Notwithstanding any provision in this Condition 6, no adjustment will be made to the Conversion Price when to the extent any Shares or other securities (including rights or options) are issued, offered, exercised, allotted, appropriated, modified allotted or granted to, or for the benefit ofof employees, employees (including directors) consultants, officers and directors of the Issuer Company or any of its Subsidiaries Subsidiary pursuant to any employee share scheme or plan (and which employee share scheme or plan is and, following such issue, offer, exercise, allotment or grant, remains in compliance with the listing rules of the Relevant Stock Exchange).

No adjustment will be made to the Conversion Price when if Ordinary Shares or other securities Other Securities (including rights pre-emptive rights, options or optionswarrants in relation to Ordinary Shares or Other Securities) are issued, offered, exercised, allotted, appropriated, modified offered or granted to, or for the benefit of, employees (including directors) directors or employees, or former directors or employees, of the Issuer or any of its Subsidiaries or any associated company or to trustees to be held for the benefit of any such person in any such case pursuant to any employee share or option scheme or plan (and which employee share scheme or plan is in compliance with the listing rules of the Relevant Stock Exchange)which, if required, has been approved by Shareholders.
