SHARE PREMIUM ACCOUNT Clause Samples
The Share Premium Account clause defines the treatment and management of funds received by a company from shareholders that exceed the nominal value of issued shares. Typically, this clause specifies that such excess amounts are credited to a separate account, known as the share premium account, which is subject to specific legal restrictions on its use. For example, the funds in this account may only be used for purposes such as issuing bonus shares, writing off preliminary expenses, or paying premiums on share buybacks. The core practical function of this clause is to ensure that the additional capital contributed by shareholders is properly accounted for and protected, thereby maintaining financial transparency and compliance with corporate regulations.
