SHARE PRICE. Any Share purchased (and sold, in the case of a cashless exercise) pursuant to exercise of the Option shall be valued on the basis of such Share's fair market value as of the date on which exercise of the Option is completed (or, if exercise of the Option is completed over a period of more than one day, on the basis of the average fair market value during such period). Any Share tendered by the Participant in payment of all or any part of the Option Price shall be valued on the basis of such Share's fair market value as of the date on which such Share is exchanged in order to effectuate exercise of the Option.
