Neither the Buyer nor any of its Subsidiaries is subject to any unanimous shareholders’ agreement and is not a party to any shareholder, pooling, voting, voting trust or other similar arrangement or agreement relating to the ownership or voting of any of the securities of the Buyer or of any of its Subsidiaries or pursuant to which any Person may have any right or claim in connection with any existing or past equity interest in the Buyer or in any of its Subsidiaries and the Buyer has not adopted a shareholders’ rights plan or any similar plan or agreement.
