Common use of Shares Held in Escrow Clause in Contracts

Shares Held in Escrow. Unless and until the Shares of Restricted Stock vest in the manner set forth in Paragraphs 3, 4 or 5, the Shares shall be issued in the name of the Employee and held by the Secretary of the Company as escrow agent (the “Escrow Agent”), and shall not be sold, transferred or otherwise disposed of, and shall not be pledged or otherwise hypothecated. The Company may instruct the transfer agent for its common stock to place a legend on the certificates representing the Shares or otherwise note its records as to the restrictions on transfer set forth in this Agreement and the Plan. The certificate or certificates representing the Shares shall not be delivered by the Escrow Agent to the Employee unless and until the Shares have vested and all other terms and conditions in this Agreement have been satisfied.

Shares Held in Escrow. Unless and until the Shares of Restricted Stock vest will have vested in the manner set forth in Paragraphs 3, 4 or paragraphs 3 through 5, the such Shares shall will be issued in the name of the Employee and held by the Secretary Shareholder Services Department of the Company (or its designee) as escrow agent (the “Escrow Agent”), and shall will not be sold, transferred or otherwise disposed of, and shall will not be pledged or otherwise hypothecated. The Company may determine to issue the Shares in book entry form and/or may instruct the transfer agent for its common stock Shares to place a legend on the certificates representing the Shares Restricted Stock or otherwise note its records as to the restrictions on transfer set forth in this Agreement and the Plan. The certificate or certificates representing the such Shares shall will not be delivered by the Escrow Agent to the Employee unless and until the Shares have vested and all other terms and conditions in this Agreement have been satisfied.
