Short Sales and Confidentiality After The Date Hereof. Each Purchaser, severally and not jointly with the other Purchasers, represents and covenants that neither it, nor any Affiliate acting on its behalf or pursuant to any understanding with it, has executed any purchases or sales, including Short Sales, of any of the Company’s securities during the period commencing with the execution of this Agreement and ending at such time that the transactions contemplated by this Agreement are first publicly announced. Each Purchaser, severally and not jointly with the other Purchasers, represents and covenants that until such time as the transactions contemplated by this Agreement are publicly disclosed by the Company, such Purchaser will maintain the confidentiality of the existence and terms of this transaction and the information included in the Transaction Documents and the Disclosure Schedules.

Each PurchaserSuch Purchaser shall not, severally and shall cause its Trading Affiliates not jointly with the other Purchasersto, represents and covenants that neither itengage, nor directly or indirectly, in any Affiliate acting on its behalf or pursuant to any understanding with it, has executed any purchases or sales, including Short Sales, of any of transactions in the Company’s securities (including, without limitation, any Short Sales involving the Company’s securities) during the period commencing with from the execution date hereof until the earlier of this Agreement and ending at such time that as (i) the transactions contemplated by this Agreement are first publicly announcedannounced as required by and described in Section 4.6 or (ii) this Agreement is terminated in full pursuant to Section 6.18.
