Common use of Short Swing Profit Rule Clause in Contracts

Short Swing Profit Rule. Under Mainland China laws, rules and regulations, the “short swing profit rule” requires you to return any profits made from purchases and sales in respect of China Connect Securities of a Mainland China Listco if (a) your shareholding in the Mainland China Listco exceeds the threshold prescribed by the relevant China Connect Authority from time to time; and (b) the corresponding sale transaction occurs within the six months after a purchase transaction, or vice versa. You will comply with the “short swing profit rule”.
