Common use of Shortfall in Earnings Clause in Contracts

Shortfall in Earnings. (a) If the credit balance on the Earnings Accounts is insufficient in any calendar month for the required amount to be transferred to the Retention Account under Clause 27.4(a) the Borrowers shall make up the amount of the insufficiency on demand from the Facility Agent. (b) Without prejudicing the Facility Agent's right to make such demand at any time, the Facility Agent may, if so authorised by the Majority Lenders, permit the Borrowers to make up all or part of the insufficiency by increasing the amount of any transfer under Clause 27.4(a), from the Earnings received in the next or subsequent calendar months.

(c) The Borrower may not make up all or any part of the insufficiency from the Minimum Liquidity Amount.

(b) Without prejudicing the Facility Agent's ’s right to make such demand at any time, the Facility Agent may, if so authorised by the Majority Lenders, permit the Borrowers Borrower to make up all or part of the insufficiency by increasing the amount of any transfer under Clause 27.4(a), 25.3 (Monthly retentions) from the Earnings received in the next or subsequent calendar months.
