Side Letter Clarification. Pursuant to a side letter dated May 22, 2009 (the “2009 Side Letter’’), the parties hereto acknowledged that, subject to the terms of the 2009 Side Letter, EAGLE shall [*] in creating the 505(b)(2) Data (as defined in the 2009 Side Letter) related to the applicable 505(b)(2) Product (as defined in the 2009 Side Letter). The parties hereto hereby agree that, for purposes of the 2009 Side Letter, “[*] shall mean (i) for Angiomax®) (bivalirudin), [*] of any award in the Arbitration and (ii) for all other products developed and sold under the DEVELOPMENT AGREEMENTS,[*] of GROSS PROFIT (as defined in the DEVELOPMENT AGREEMENTS).
