Significant Clients Sample Clauses

Significant Clients. Section 4.30 of the Disclosure Schedule lists, for the current fiscal year through the date of this Agreement and the three prior fiscal years (i) all of the clients of the Company and its Subsidiaries that made any payment to the Company or any of its Subsidiaries during any such period; and (ii) the amounts paid to the Company and its Subsidiaries by each such client. Neither the Company nor any of its Subsidiaries has received notice prior to the date hereof from any of such clients that a client has a material dispute with the Company, and, to the Knowledge of the Company as of the date hereof, none of such clients has any material disputes with the Company or any of its Subsidiaries.
Significant Clients. Section 4.20 of the Company Disclosure Schedule sets forth (a) the names of the twenty largest clients for each of the Tenant Rep Business and the Company's design and construction consulting business, as measured by combined revenue ("Significant Clients"), of the Company and Company Subsidiaries during the 9-month period ended March 31, 2008 and (b) on a combined basis, the total revenue received in such period from each such Significant Client. Except as set forth in Section 4.20 of the Company Disclosure Schedule, no Significant Client as of the date hereof, (i) has ceased, or indicated to the Company or any Company Subsidiary that it shall cease, to use the services of the Company or any Company Subsidiary, (ii) has made any claim against the Company or any Company Subsidiary or (iii) has sought, or is seeking, to renegotiate the terms of any contract under which the Company or any Company Subsidiary is providing services to such Significant Client, including in each case after the consummation of the transactions contemplated hereby or by any Ancillary Agreement. True and complete copies of all such dispute or termination notices (or a written description of any oral dispute or termination notice) shall have been made available to Parent.
Significant Clients. Schedule 5.26 contains a complete and true list of the ten (10) largest clients of the Company as measured by dollar amount of revenue paid or payable to the Company during the twelve (12) months ended as of the Latest Balance Sheet Date (“Significant Clients”), showing the approximate total revenue paid or payable to the Company by each Significant Client with respect to such period. No Significant Client has (a) cancelled or otherwise terminated, or to the Knowledge of the members of the Seller Group threatened to cancel or otherwise terminate, its relationship with the Company, or (b) decreased, limited or otherwise modified, or notified any member of the Seller Group that it may decrease, limit or otherwise modify, the materials, services or supplies it purchases or otherwise acquires from the Company. Except as described on Schedule 5.26, there are no concessions, credits, discounts, rebates, special warranties or other arrangements, incentives or understandings (whether oral or written) with any customer to the extent not expressly contained in the written Contract with a Significant Client.
Significant Clients. None of the clients listed in Section 4.20 of the Company Disclosure Schedule has delivered any written notice to the Company or any of the Company Subsidiaries that any such client (i) has terminated, or will terminate any Contract with the Company or any of the Company Subsidiaries or (ii) has ceased, or will cease, to use the services of the Company or the Company Subsidiaries provided as of the date of this Agreement, as the case may be.
Significant Clients. Schedule 3.20 sets forth a list of names of the ten largest clients (measured by dollar volume of revenues) of the Company and the percentage of the Practice which each such client represents or represented during each of the years ended December 31, 2005, 2006 and 2007. Except as set forth in Schedule 3.20, there exists no actual or, to the Company’s Knowledge, threatened termination, cancellation or limitation of the business relationship of the Company with any client listed in Schedule 3.20.
Significant Clients. For purposes of this Section 3(b), the term "Significant Client" shall mean any of ------------ ------------------ the present or future clients of E&Y reasonably considered (upon mutual agreement of the parties, which agreement shall not unreasonably be withheld) to be "Tier 1" based on sales, revenues, income, market capitalization and stature in the relative industry and markets.
Significant Clients. Schedule 5.10(a) sets forth (a) the names of the 20 largest clients of the Tenant Rep Business ("Tenant Rep Significant Clients"), during the year ended December 31, 2007 and the 3-month period ended March 31, 2008 and (b) the total revenue received in such periods from each such Tenant Representative Significant Client. Except as set forth on Schedule 5.10(b), no Tenant Rep Significant Client as of the date hereof, (i) has ceased, or indicated to Parent or any of its Subsidiaries that it shall cease, to use the services of the Tenant Rep Business, (ii) has made any claim against the Americas Business with respect to the Tenant Rep Business or (iii) has sought, or is seeking, to renegotiate the terms of any contract under which the Americas Business is providing Tenant Rep Business services to such Tenant Rep Significant Client, including in each case after the consummation of the transactions contemplated hereby or by any Ancillary Agreement. True and complete copies of all such dispute or termination notices (or a written description of any oral dispute or termination notice) shall have been made available to the Company.

  • Significant Customers and Suppliers No customer or supplier which was significant to the Company during the period covered by the Financial Statements or which has been significant to the Company thereafter, has terminated or breached, materially reduced or threatened to terminate, breach or materially reduce its purchases from or provision of products or services to the Company, as the case may be.

  • Business Relations The contractor shall successfully integrate and coordinate all activity needed to execute the requirement. The contractor shall manage the timeliness, completeness, and quality of problem identification. The contractor shall provide corrective action plans, proposal submittals, timely identification of issues, and effective management of subcontractors. The contractor shall seek to ensure customer satisfaction and professional and ethical behavior of all contractor personnel.

  • Certain Business Relationships Neither Parent nor any of its affiliates is a party to any Contract with any director, officer or employee of the Company or any Company Subsidiary.

  • Business Relationships There are no business relationships or related party transactions involving the Company or any other person required to be described in the Registration Statement, the Pricing Disclosure Package and the Prospectus that have not been described as required.

  • Presentation of Potential Target Businesses The Company shall cause each of the Initial Shareholders to agree that, in order to minimize potential conflicts of interest which may arise from multiple affiliations, the Initial Shareholders will present to the Company for its consideration, prior to presentation to any other person or company, any suitable opportunity to acquire an operating business, until the earlier of the consummation by the Company of a Business Combination or the liquidation of the Company, subject to any pre-existing fiduciary obligations the Initial Shareholders might have.
