Common use of Signing of Warrant Certificates Clause in Contracts

Signing of Warrant Certificates. The Warrant Certificates shall be signed by any director or officer of the Corporation. The signature of such signing officer may be mechanically reproduced in facsimile and Warrant Certificates bearing such facsimile signature shall be binding upon the Corporation as if they had been manually signed by such signing officer. Notwithstanding that any individual whose manual or facsimile signature appears on any Warrant Certificate as a signing officer may no longer hold office or a directorship, as applicable, at the date of issue of such Warrant Certificate or at the date of certification or delivery thereof, any Warrant Certificate signed as aforesaid shall, subject to section 2.5, be valid and binding upon the Corporation and the Holder thereof shall be entitled to the benefits of this Indenture.

The signature of such signing officer may be mechanically reproduced in facsimile and Warrant Certificates certificates bearing such facsimile signature signatures shall be binding upon the Corporation as if they had been manually signed by such signing officer. Notwithstanding that any individual the person whose manual or facsimile signature appears on any Warrant Certificate certificate as a signing such officer may no longer hold office or a directorship, as applicable, at the date of issue of such Warrant Certificate certificate or at the date of certification or delivery thereof, any Warrant Certificate certificate signed as aforesaid shall, subject to section 2.52.4, be valid and binding upon the Corporation and the Holder holder thereof shall be entitled to the benefits of this Indenture.

Notwithstanding that any individual person whose manual or facsimile signature appears on any Warrant Certificate as a signing director or officer may no longer hold the same or any other office or a directorship, as applicable, with the Corporation at the date of issue of such Warrant Certificate or at the date of certification or delivery thereof, any Warrant Certificate signed as aforesaid shall, subject to section 2.5Section 2.7, be valid and binding upon the Corporation and the Holder thereof shall be entitled to the benefits of this Indenture.
