Situs of Issuer. The Issuer shall be located in the State of Delaware; provided, however, that the Issuer may enter into administration agreements with Persons located outside of the State of Delaware. All bank accounts maintained by the Owner Trustee on behalf of the Issuer shall be located in the States of Delaware, California or New York. The Issuer shall not have any employees; provided, however, that nothing herein shall restrict or prohibit the Owner Trustee from having employees within or without the State of Delaware. Payments shall be received by the Issuer only in the States of Delaware, California or New York, and payments shall be made by the Issuer only from the States of Delaware, California or New York. The only office of the Issuer shall be at the Corporate Trust Office of the Owner Trustee in the State of Delaware.
