Small Business Administration Documentation. Agent and Lender acknowledge that Borrower completed, executed and delivered to Agent SBA Forms 480, 652 and 1031 (Parts A and B) together with a business plan showing Borrower’s financial projections (including balance sheets and income and cash flows statements) for the period described therein and a written statement (whether included in the purchase agreement or pursuant to a separate statement) from Agent regarding its intended use of proceeds from the sale of securities to Lender (the “Use of Proceeds Statement”). Borrower represents and warrants to Agent and Lender that the information regarding Borrower and its affiliates set forth in the SBA Form 480, Form 652 and Form 1031 and the Use of Proceeds Statement delivered as of the Closing Date is accurate and complete.

On or before the Closing Date, Lender shall have received SBA Form 480 (Size Status Declaration) and SBA Form 652 (Assurance of Compliance) which have been completed and executed by the Borrower, and SBA Form 1031 (Portfolio Finance Report), Parts A and B of which have been completed by the Borrower (the "SBA Documents").

Agent and Xxxxxxx acknowledge that Xxxxxxxx completed, executed and delivered to Agent prior to the SBA Funding Date SBA Forms 480, 652 and 1031 (Parts A and B) together with a business plan showing Xxxxxxxx’s financial projections (including balance sheets and income and cash flows statements) for the period described therein and a written statement (whether included in the purchase agreement or pursuant to a separate statement) from Agent regarding its intended use of proceeds from the sale of securities to Lenders (the “Use of Proceeds Statement”). Borrower represents and warrants to Agent and Lenders that the information regarding Borrower and its affiliates set forth in the SBA Form 480, Form 652 and Form 1031 and the Use of Proceeds Statement delivered as of the SBA Funding Date is accurate and complete.

SLW Fund acknowledges that Borrower completed, executed and delivered to SLW Fund SBA Forms 480, 652 and 1031 (Parts A and B) together with a business plan showing Borrower’s financial projections (including balance sheets and income and cash flows statements) for the period described therein and the written statement in Section 1.02 hereof regarding its intended use of proceeds from the Loans made by SLW Fund (the “Use of Proceeds Statement”). Borrower represents and warrants to SLW Fund that the information regarding Borrower and its affiliates set forth in the SBA Form 480, Form 652 and Form 1031 and the Use of Proceeds Statement delivered as of the Closing Date is accurate and complete as of such date.

On or before the closing of the Investment, the SBIC shall have received from the Company SBA Form 480 (Size Status Declaration) and SBA Form 652 (Assurance of Compliance ) which have been completed and executed by the Company, and SBA Form 1031 (Portfolio Finance Report), Parts A and B of which has been completed by the Company (the "SBA Documents").

Hercules II acknowledges that Borrower completed, executed and delivered to Hercules II SBA Forms 480, 652 and 1031 (Parts A and B) together with a business plan showing Borrower’s financial projections (including balance sheets and income and cash flows statements) for the period described therein and a written statement (whether included in the purchase agreement or pursuant to a separate statement) from Hercules II regarding its intended use of proceeds from the sale of securities to Hercules II (the “Use of Proceeds Statement”). Borrower represents and warrants to Hercules II that the information regarding Borrower and its affiliates set forth in the SBA Form 480, Form 652 and Form 1031 and the Use of Proceeds Statement delivered as of the Closing Date is accurate and complete.
Small Business Administration Documentation. On or before the Closing, CVP SBIC, L.P. (“Cardinal”) shall have received from the Company Small Business Administration (“SBA”) Form 480 (Size Status Declaration) and SBA Form 652 (Assurance of Compliance), which have been completed and executed by the Company, and SBA Form 1031 (Portfolio Finance Report), Parts A and B of which have been completed by the Company.
