SNDAs and Estoppels. Lender shall have the right to require each tenant to execute and deliver to Lender a subordination, non-disturbance of possession and attornment agreement (“SNDA Agreement”) in form, content and manner of execution acceptable to Lender and, from time to time, an estoppel certificate in form and manner of execution acceptable to Lender.
SNDAs and Estoppels. Lender shall have the right to require each tenant under a commercial lease concerning the Property to execute and deliver to Lender a subordination, non-disturbance and attornment agreement ("SNDA") in reasonable and customary form, content and manner of execution acceptable to Lender and, from time to time, an estoppel certificate in reasonable and customary form and manner of execution acceptable to Lender.
SNDAs and Estoppels. Borrower shall on a commercially reasonable basis have provided to Agent, in form and substance satisfactory to Agent, (a) subordination, non-disturbance and attornment agreements for the following tenants: N/A, and (b) estoppels with respect to 85% of the current tenants for each Initial Property.
SNDAs and Estoppels. Administrative Agent shall have the right to require each tenant to execute and deliver to Administrative Agent a subordination, non-disturbance of possession and attornment agreement ("SNDA Agreement") in form, content and manner of execution acceptable to Administrative Agent and, from time to time, an estoppel certificate in form and manner of execution acceptable to Administrative Agent. As long as no Event of Default exists, the Administrative Agent will request that the Borrower obtain an estoppel certificate from any one tenant no more than once during any twelve month period.
SNDAs and Estoppels. Lender shall have the right to require each tenant to execute and deliver to Lender a subordination, non- disturbance of possession and attornment agreement ("SNDA Agreement") in form, content and manner of execution reasonably acceptable to Lender and, from time to time, an estoppel certificate in form and manner of execution reasonably acceptable to Lender for any commercial tenant. Upon Borrower's request, Lender shall execute an SNDA Agreement with each tenant under an Approved Lease occupying more than five percent (5%) of the rentable square feet of the Property upon: (i) satisfaction of all landlord obligations under the applicable Approved Lease such that the tenant has taken full possession of the leases premises and is obligated to pay rent, and (ii) receipt by Lender of a satisfactory estoppel certificate confirming the full performance of landlord obligations to date including, but not limited to, landlord obligations relating to the construction of Tenant Improvements, and the absence of any fact or circumstance which constitutes, or with the passage of time or giving of notice, or both, would constitute, a default under such lease. 25
SNDAs and Estoppels. The Agent shall have the right to request that each tenant execute and deliver to the Agent, and upon such request the Borrower agrees to use commercially reasonable efforts to obtain from such tenant, a subordination, non-disturbance of possession and attornment agreement substantially in the form, attached hereto as Schedule VI, and, from time to time, an estoppel certificate substantially in the form attached hereto as Schedule VII.
SNDAs and Estoppels. Agent shall have the right to require Borrower to cause each tenant and subtenant to execute and deliver to Agent (a) a subordination, non-disturbance of possession and attornment agreement (“SNDA Agreement”) in form, content and manner of execution reasonably acceptable to Agent, and (b) from time to time, an estoppel certificate in form and manner of execution reasonably acceptable to Agent. In addition, upon the execution of any new Approved Lease and upon Borrower's request, Agent shall execute and deliver an SNDA Agreement with such new tenant or subtenant.
SNDAs and Estoppels. Lender shall have the right to require each tenant under a Lease to execute and deliver to Lender an SNDA Agreement in form, content and manner of execution reasonably acceptable to Lender and, from time to time, an estoppel certificate in form, content, and manner of execution reasonably acceptable to Lender. Upon request of Borrower, Lender will provide each tenant under any Lease a non-disturbance and attornment agreement in form and content reasonably acceptable to Lender. Notwithstanding anything to the contrary herein, provided there is no Event of Default hereunder, to the extent that there is a conflict between the terms and conditions of any SNDA Agreement to which Lender is a party and the terms of Section 14 hereof with respect to the payment of insurance proceeds and condemnation awards, the terms of the SNDA Agreement with respect to the payment of said insurance proceeds and condemnation awards shall govern.
SNDAs and Estoppels. With respect to any leases, subleases or occupancy agreements affecting any of the Owned Real Property or Leased Real Property, subordination, non-disturbance and attornment agreements executed by the landlord and tenant (or sublandlord and subtenant, as applicable) thereunder in form and substance reasonably acceptable to Buyer or its lender, and/or estoppel certificates executed by any tenant, subtenant or occupant of any portion of the Owned Real Property or Leased Real Property, or any other Person holding rights’ with respect thereto (including any owners’ association or similar entity holding lien rights with respect to any Owned Real Property or Leased Real Property) certifying as to such factual matters as Buyer or its lender may request.
