Software and Source Code. Licensee acknowledges and agrees that, as between Licensee and Licensor, Licensor owns all legal right, title, and interest, including all intellectual property rights, in and to the Software, the Source Code, and Documentation including, without limitation, any intellectual property rights or other proprietary rights that subsist in the Software and Documentation (whether those rights are registered or unregistered, and wherever in the world those rights may exist). With respect to Third-Party Products, the applicable third-party licensors own all right, title and interest, including all intellectual property rights, in and to the Third-Party Products.
Software and Source Code. Except for the rights granted to the Licensee herein, all right, title, copyright, and interest in the Software, Source Code, Software Modifications and Error corrections will be and remain the property of the Licensor.
Software and Source Code. All of S-Link’s right, title and interest in the software products developed by S-Link, including without limitation the software products completed and in process, and those listed in Schedule 1.1(c), and all related source and object code, including, without limitation, development documentation, flow charts, specifications, system build software, testing tools and documentation, scripts, support tools and environment and other materials necessary to develop, maintain, modify or implement the software, and all media of whatever kind on which such code resides, less any inventory of such media disposed of in the ordinary course of business before the Closing Date (collectively, the “Software”);
Software and Source Code. The Company and its Subsidiaries have not disclosed, licensed, made available or delivered to any escrow agent any of the source code for any Company Software, and, as of the date of this Agreement, no event has occurred that would legally require the Company or any of its Subsidiaries to do any of the foregoing. Neither this Agreement nor the consummation of the Merger will result in the disclosure to a third party of any source code included in the Company Software (including any release from escrow of any such source code). The Company or one of its Subsidiaries has in its possession the source code and related documentation for the Company Software. To the Knowledge of the Company, since the Lookback Date, there has been no unauthorized use, reverse engineering, decompiling, or other unauthorized disclosure of or access to the source code for the Company Software. The Company Software constitutes all material Software included in the Company’s and its Subsidiaries’ current products and services.
Software and Source Code. Notwithstanding Section 7.2 below or any other provision in this Agreement, Previo shall not disclose or transfer to any third party (a) any Contract Property, including without limitation, any source code or documentation included in the Contract Property, or (b) any Altiris product or technology, including without limitation, any source code or documentation therein.
Software and Source Code. Except for the rights granted to you herein, all right, title, copyright, and interest in the Software, Source Code, Software Modifications and Error corrections will be and remain the property of Lipa.
Software and Source Code. Other than Open Source Code, no portion of any Source Code for any of the Company’s Software has been delivered, licensed, or made available to any escrow agent or other Person who is not, as of the date of this Agreement, an employee or independent contractor of the Company. Other than Open Source Code, the Company has no duty or obligation (whether present, contingent, or otherwise) to deliver, license, or make available the Source Code for any of the Company’s Software to any escrow agent or other Person. None of the Company’s Software:
(i) has been donated to the public;
(ii) has otherwise been made available as Open Source Code; or
(iii) has been disclosed in Source Code or object code form to the public.
