Software Upgrade. If WeBill does not notify the VAR within 20 (twenty) Business Days (or such longer period as the VAR agrees to) after receipt of the Request Notice relating to a Software Upgrade that WeBill is willing to either develop, or to request a reputable third party selected by WeBill to develop, the Software Upgrade, then the Software Upgrade shall not be developed, whether by WeBill or any other person.

Software Upgrade. A Software Upgrade is the replacement of an older major version of an existing CJIS Software product or products, with a newer major version of a CJIS Software product or products, to the extent required to maintain the same operational functionality that was supported by the CJIS Software prior to the upgrade. For example, upgrading from CJIS Version 1 to CJIS Version 2 (where 2 is the newer major version) would constitute a Software Upgrade.
Software Upgrade. OPTIONAL Notes: 1. Remote Software Upgrade requires a NOC connection. If the customer already has Remote Monitoring, this configuration has been established. For customers without Remote Monitoring, the one-time NOC turn up fee applies. As with Remote Monitoring, NOC turn up fees are waived for multi-year contracts 3 years or longer. 2. Onsite standby support is a requirement for Remote Software Upgrade. This requirement is in place because Aviat is unable to guarantee how a radio will respond during a restart if the radio has not been reset for multiple years. If an error occurs during restart, the onsite personnel will work with the NOC to return the radio to normal operation. The customer may elect to provide their own on-site support in lieu of Aviat personnel. 3. For systems with outdoor radio configurations (e.g., WTM4000), tower crew support is required as part of the onsite dispatch requirement. In order to reduce customer cost for tower crew scheduling, mobilization and rigging, it is highly recommended an annual Tower Preventive Maintenance service be included in conjunction with Remote Software Upgrade service as upgrades for outdoor systems are scheduled during routine maintenance windows to accommodate tower crews. 4. Tower Corrective Maintenance is not included as part of Remote Software Upgrade service and must be contracted separately.

Software Upgrade. 6.1. If new or upgraded versions of the SCS Software or other software necessary for the operation of the SCS are available, the Bank reserves the right not to support any prior or older version of the SCS Software or such other software. If the Customer fails to upgrade the relevant software or to use such version of software as may be prescribed or required by the Bank, the Bank is entitled not to effect any Customer Instructions received from the Customer and/or to terminate this Agreement forthwith. 6.2. The Bank reserves the right at any time to change the type, versions or specifications of any equipment that the Customer may be required to use in connection with the SCS, and in the event such requirements are not met by the Customer, the Bank is entitled not to effect any Customer Instructions received from the Customer and/or to terminate this Agreement forthwith.
