Software Usage. Upon termination of this Agreement for any reason, Licensee shall immediately cease using the Software;
Software Usage. 25.1 Unless otherwise specified by Xxxxxxx and subject to any other license agreement contained in such software, where Goods supplied by Xxxxxxx constitute or contain software or computer programs developed by Xxxxxxx (Software), Xxxxxxx grants the Customer a non-exclusive non-transferable licence to use such Software on one device.
25.2 The Customer agrees:
(a) that it will not copy, reproduce, exploit, distribute, modify, adapt, reverse-engineer, translate, decompile or disassemble the Software;
(b) that Xxxxxxx does not, subject to any applicable law, guarantee the availability, functionality or reliability of the Software;
(c) that Xxxxxxx will retain all copyright and intellectual property rights in the Software;
(d) that it has no right, title or interest in any part of the Software other than as specified in any licence; and
(e) to not use the Software to do anything illegal or which is invasive of another’s rights (including the violation of privacy).
25.3 The Customer acknowledges that Xxxxxxx may use or incorporate modules, software or systems provided by third parties in order to provide functionality within the Software and that Xxxxxxx will not be responsible for the performance, reliability or functionality of any third party modules, software or systems (including for any loss).
25.4 The Customer agrees, authorises and consents that personal information provided to Xxxxxxx may be collected, recorded, retained, used and disclosed to third parties for the following purposes:
(a) providing and improving the functionality of the Software including providing associated services; and
(b) providing updates and support in relation to the Software.
Software Usage. 11.1. If software is included in the scope of delivery, the ordering party shall be granted a non-exclusive right to use the delivered software including its documentation exclusively in connection with the delivery item. It shall only be made available for use on the delivery item intended for this purpose. Use of the software on more than one system and outside the delivery item is prohibited.
11.2. The ordering party may only reproduce the software to the extent permitted by law for back-up purposes. The revision, translation or conversion of the object code into the source code is prohibited without prior written consent.
11.3. A right to consent shall exist if intervention is necessary in order to correct errors in the software or to be able to fulfil its intended purpose in connection with the delivery item.
11.4. The ordering party undertakes not to remove or alter manufacturer information - in particular copyright notices - without prior written consent.
11.5. All other rights to the software and the documentation including the copies shall remain with XXXXXX / the software supplier.
11.6. The granting of sublicenses shall not be permitted. If the delivery item is resold, the customer may resell the rights to the software only to the extent granted to him in connection with the delivery item.
Software Usage. You agree that your use of the Online Services and all related software ("Software") provided to you by the Bank, will be limited solely to access and use of the Online Services and agree not to decompile or reverse engineer or otherwise alter the Software in any way. The Bank uses third parties ("Licensor") that are not affiliated with us to provide certain licensed Software to support the Online Services.
Software Usage. You agree that your use of the Mobile Service and all related software provided to you by us, will be limited solely to access and use of the Mobile Service and agree not to decompile or reverse engineer or otherwise alter the software in any way. We use third parties that are not affiliated with us to provide certain licensed software to support the Mobile Service.
Software Usage. Global shall not attempt to reverse engineer or otherwise obtain copies of the software programs contained in Mercury Information Systems. This Exhibit does not transfer Global title of any ownership rights or rights in patents, copyrights, trademarks and trade secrets included in Mercury Information Systems. Mercury shall not attempt to reverse engineer or otherwise obtain copies of the software programs contained in Global Processing Resources. Nothing in the Agreement or this Exhibit transfers to Mercury title of any ownership rights or interest or rights in patents, copyrights, trademarks and trade secrets belonging to or licensed by Global or included in Global Processing Resources.
Software Usage. 10.1. Our System uses proprietary software of the Bank and may from time to time involve the use of other software suppliers. If we have provided You with software to use with the System, you are being granted an exclusive, non-transferable, non-sub-licensable license to use this software. You agree to use the software only for its intended purposes as provided in this Agreement for the limited purposes stated herein. You may not disassemble, decompile, copy, modify or reverse engineer any of the System software or allow anyone else to do so.
10.2. You understand that the System may include encryption-controlled software that is currently subject to strict export license requirements of law. You agree not to export any BB Internet Banking software or technical data received from us or the encryption- controlled software direct product, without full compliance with all requirements of all applicable laws. You are solely responsible for obtaining any required export licenses or authorisations and for compliance with all export or import restrictions imposed by any other country.
10.3. Your obligations under this provision shall remain in effect after termination of these Terms.
Software Usage. 3.1. The use of software shall mean the installing, or/and copying, or/and storing, or/and loading, or/and executing, or/and displaying, or/and otherwise using the Neurotech Software. The Software shall be solely used with the product lawfully purchased by the Customer from Supplier or any authorised representative.
3.2. As part of the Product, Supplier shall provide the Customer with one Activation Card to activate and maintain the use of the Software for each Product purchased. Customer may Use the Activation Card on Android devices or other platforms if expressly notified by Supplier. The Customer shall however only use one set of Activation Card with the Product to which they apply and may not use the set of Activation Card with any other Product and/or other Product whatsoever.
3.3. The Customer may not modify the Software or disable any licensing or control feature of the Software. The Customer may not separate component parts of the Software for Use, nor have the right to distribute and/or allow the unauthorised use of the Software.
3.4. The Customer further agrees that:
3.4.1 The Activation Card is required each time Customer uses the Software and is necessary to enable its continued use. The Activation Card shall at all times remain the property of the Supplier or its agents. Supplier shall de-activate the Activation Card and use of the Software without warning in the event that any provision on Prohibited Use as outlined in this agreement is breached from Customer’s end. Under these Terms and Conditions, only the Customer, their legal representative and/or their medical representative as expressly appointed, may make use of the Activation Card to access the use of the Software. The Customer shall be responsible, without any limitation, for all acts/omissions carried out by any unauthorised third- party user of the Activation Card and use of Software. Customer therefore agrees to keep the Activation Card safe and confidential and agrees to take all reasonable measures to prevent the loss, disclosure, modification or unauthorised use of the Activation Card. Customer also agrees to remain the sole holder and user of the Activation Card saving the express authority as aforesaid.
3.4.2 Upon being provided with the Activation Card, Customer is expected to use the Software. Non-use and/or scarce use of the software, shall be a cause for deactivation of the Activation Card for the use of the Software.

Purdue Federal uses a third-party ("Licensor") that is not affiliated with us to provide certain licensed Software to support the Purdue Federal Mobile Banking services. To the extent we or our Licensor make any software available to you via download in conjunction with Mobile Banking, we hereby grant, and you hereby accept, for the term of this Agreement, a non- exclusive, non-assignable, non-transferable, limited right and license to use the proprietary computer software products in object code and any associated documentation ("Products") for use only directly in conjunction with its permitted use of Mobile Banking. Except for the license granted to you hereunder, all rights and title in and to the Products, including any improvements, modifications, and derivative works, will at all times remain with us or our licensors, and you shall acquire no rights in the Products. You will bear the entire risk of loss, destruction and damage to the Products from any cause whatsoever, and no such loss, destruction or damage shall impair any of your obligations hereunder which shall continue in full force and effect.
