Common use of Sole Inventions Clause in Contracts

Sole Inventions. Each Party shall exclusively own all inventions made solely by or on behalf of such Party or its Affiliates in connection with this Agreement (“Sole Inventions”). Sole Inventions made solely by or on behalf of Licensee or its Affiliates are referred to herein as “Licensee Sole Inventions”. Sole Inventions made solely by or on behalf of Licensor or its Affiliates are referred to herein as “Licensor Sole Inventions”.

Sole Inventions. Each Party shall exclusively own all inventions made solely by or on behalf such Party, its employees, agents and consultants in the conduct of such Party or its Affiliates in connection with the Parties’ activities pursuant to this Agreement (“Sole Inventions”). Sole Inventions made solely by or on behalf of Licensee or Ikaria, its Affiliates employees, agents and consultants are referred to herein as “Licensee Ikaria Sole Inventions”. Sole Inventions made solely by or on behalf of Licensor or Fibrex, its Affiliates employees, agents and consultants are referred to herein as “Licensor Fibrex Sole Inventions”.

Sole Inventions. Each As between the Parties, each Party (or its Affiliate) shall exclusively own all inventions made conceived solely by the employees or on behalf agents of such Party or its Affiliates in connection with the course of such Party’s and its Affiliates’ performance of Development, Manufacturing or Commercialization activities under this Agreement (“Sole Inventions”). Sole Inventions made conceived solely by or on behalf the employees and agents of Licensee AbbVie or its Affiliates are referred to herein as “Licensee AbbVie Sole Inventions”. Sole Inventions made conceived solely by or on behalf the employees and agents of Licensor Infinity or its Affiliates are referred to herein as “Licensor Infinity Sole Inventions”.

Sole Inventions made solely by or on behalf of Licensee or Newsoara and its Affiliates Subsidiaries, and its and their employees, agents and consultants are referred to herein as “Licensee Newsoara Sole Inventions”. Sole Inventions made solely by or on behalf of Licensor or vTv and its Affiliates Subsidiaries, and its and their employees, agents and consultants are referred to herein as “Licensor vTv Sole Inventions”.

Sole Inventions made solely by or on behalf of Licensor or Dyax, its Affiliates Affiliates, and its and their employees, agents, consultants and contractors, as well as []*, are referred to herein as “Licensor Dyax Sole Inventions”.
