Solicitation Notice. The Company agrees that prior to soliciting any offers for a proposed Corporate Event (a “Proposed Event”), the Company will provide Google with five (5) Business Days prior written notice of such intent to solicit offers (a “Solicitation Notice”), specifying the terms and conditions of the Proposed Event, including the proposed selling price for the Company or its assets or proposed licensing price or terms in the event of a license of intellectual property of the Company, the proposed structure of the transaction, a list of the persons from whom the Company in good faith intends to solicit such offers, when the Proposed Event involves an acquisition or license of assets, a description of the assets to be sold or licensed, and the other material terms and conditions of the Proposed Event.
