Common use of Solicitation of Employees and Consultants Clause in Contracts

Solicitation of Employees and Consultants. Provided that the Company is not in default under this Employment Agreement, including but not limited to Section 3 of this Agreement, then upon termination of Employee?s employment with the Company under this Agreement, with cause by the Company or without cause by the Employee, then Employee shall not, for a period of one (1) year following the date of such termination: (a) Solicit or attempt to hire any person who is then employed by the Company or its subsidiaries or who, to Employee?s knowledge, was employed by the Company or its subsidiaries at any time during the year before the termination of Employee?s employment with the Company under this Agreement; or (b) Encourage any such person to terminate his or her employment with the Company or its subsidiaries.
