Solicitation of Employees and Consultants. (a) Provided that the Company is not in default under this Employment Agreement, including but not limited to Section 3 of this Agreement, then upon termination of Employee’s employment with the Company under this Agreement, with cause by the Company or without cause by the Employee, then Employee shall not, for a period of two (2) years following the date of such termination:
