Common use of Sophisticated Investor Clause in Contracts

Sophisticated Investor. The Investor has, by reason of its business and financial experience, such knowledge, sophistication and experience in financial and business matters and in making investment decisions of this type that it is capable of (i) evaluating the merits and risks of an investment in the Securities and making an informed investment decision; (ii) protecting its own interest; and (iii) bearing the economic risk of such investment for an indefinite period of time.

Sophisticated Investor. The Investor has, by reason of its business and financial experience, has such knowledge, sophistication and experience in business and financial and business matters and in making investment decisions of this type that it is so as to be capable of (i) evaluating the merits and risks of an the prospective investment in the Securities and making an informed investment decision; (ii) protecting its own interest; and (iii) bearing the economic risk of such investment for an indefinite period of timeSecurities.

Sophisticated Investor. The Investor has, by reason of its business and financial experience, has such knowledge, sophistication knowledge and experience in financial and business matters and in making investment decisions of this type that it Investor is capable of (i) evaluating the merits and risks of an such investment, is able to incur a complete loss of such investment in the Securities and making an informed investment decision; (ii) protecting its own interest; and (iii) bearing is able to bear the economic risk of such investment for an indefinite period of time. Investor has not been formed solely for the purpose of making this investment and is purchasing the Securities for its own account for investment, not as a nominee or agent, and not with a view to, or for resale in connection with, the distribution thereof.
