Sophistication and Financial Condition of Shareholders. Each Shareholder represents and warrants to the Buyer that it is (i) an Accredited Investor (as defined in Regulation D promulgated under the Securities Act), or (ii) a non-U.S. Person (as defined below), and in either case, that it is an experienced and sophisticated investor and has such knowledge and experience in financial and business matters as are necessary to evaluate the merits and risks of an investment in the Securities.
