If you are subject to Australian securities laws and you place any order with us, you will be deemed to represent that you are a "Sophisticated Investor" or a "Professional Investor" and a "Wholesale Client" as defined under applicable Australian regulations, sections 708(10), 708(11) and 761G of the Corporations Act 2001 (Cth) (the "Act") respectively, being a person to whom an offer of securities can be made without disclosure under Chapter 6D of the Act, as interpreted and amended from time to time.
