Sophistication and Knowledge. The HSI Stockholder is an "accredited investor" (as defined in Rule 501(a) under the Securities Act) and acknowledges that it has sufficient experience in financial and business matters to be capable of utilizing such information to evaluate the merits and risks of the HSI Stockholder's acquisition of the Exchange Shares, and to make an informed decision relating to said acquisition.
